Stikeman Elliott's Energy Group participates in a broad range of transactions in the oil and gas industry. Our work in this area includes mergers, acquisitions, dispositions, debt, equity and project financings, restructurings, marketing arrangements for oil, gas and other petroleum substances and derivative products related to those marketing activities. Our Energy Group includes several of Canada's most prominent business lawyers.

Our clients include the developers, owners and operators of oil and gas properties and midstream and downstream facilities, large industrial gas users as well as investors in and lenders to participants in the oil and gas industry. We also represent marketers of petroleum substances and entities providing oil and gas field services including seismic, drilling and well fractionation services.

Electricity & Power Generation 

Lawyers in our Energy Group have significant experience in electricity matters, including with respect to generation, transmission, marketing and regulation or electricity. Among other significant mandates, Stikeman Elliott has acted for both the Ontario Power Authority and independent power providers in connection with power procurement processes and negotiations and ongoing mandates for the Independent Electricity System Operator (IESO) and the Ontario Energy Board.

The firm gained formative experience as counsel to the Market Design Committee responsible for establishing the framework for electricity market deregulation in the province of Ontario and to the Transmission Administrator in Alberta. The Energy Group also has extensive experience in the nuclear power sector. We have an understanding of the legal and practical issues affecting electricity generation and electricity transmission in Canada and internationally.

The Group also has extensive experience in connection with project development, construction, financing and public-private partnership arrangements in the industry. Our lawyers also frequently advise with respect to strategic acquisitions, dispositions and consolidations of assets and companies in the electrical sector.

Renewable Energy

Our Energy Group's experience in the energy sector extends to alternative sources of energy and to renewable energy. We have acted for clients with respect to wind, solar and hydroelectric power projects, in addition to projects in emerging areas involving ethanol, biomass, geothermal and methane.

We are counsel to the Ontario Power Authority in its recent procurement process for renewable energy RFP and have acted for a number of alternative energy producers and proponents on a broad number of mandates including structuring, financing, development, acquisitions and divestitures, supply and distribution activities. We have also assisted a number of foreign alternative energy suppliers in their establishment of Canadian operations.

Carbon Emissions Trading

Stikeman Elliott's corporate finance, derivatives and financial products and energy lawyers have been at the forefront of the rapidly growing international carbon market. We advise clients on how to navigate the legal landscape with a view to helping them maximize their return in rapidly developing markets and trading schemes. We represent a range of market participants involved in the global carbon markets including producers, developers, marketers, purchasers, regulated industries, financial institutions and dealers based in Canada and internationally.

Project Finance

Stikeman Elliott is a leader, nationally and internationally, in the areas of infrastructure development and project finance, which draw on the skills of our banking, corporate, energy, real estate, securities and tax practices. We have particular expertise in financing for innovative sustainable energy projects arising across Canada in the wake of changing policies, environmental standards and growing cultural awareness of climate change. We have advised clients in connection with the financing of power projects derived from co-generation, wind power, run-of-river hydroelectric facilities, ethanol, solar power, nuclear power and biomass. These are all important sectors in the Canadian energy marketplace.

Renewable Energy

Stikeman Elliott's Energy Group is among Canada's leading advisors to the renewable energy industry. A wide range of participants - including developers, purchasers, suppliers and financing entities - depend on the Group's experience in development, debt and equity financing, mergers and acquisitions and related regulatory processes. We have extensive experience with power procurement processes in respect of renewable energy, acting as counsel to the Ontario Power Authority and a variety of potential proponents, developers and independent power producers in connection with power procurement RFPs and relationships. We also assist U.S. and European entities in pursuing opportunities in this sector.

Regulation, Compliance & Government Relations

We have worked extensively with governmental and quasi-governmental bodies in connection with existing and anticipated legislative responses to climate change and have established strong relationships with policy and decision-makers in different jurisdictions. Accordingly, we have a unique understanding of the legal and practical issues affecting companies impacted by climate change-related regulation in Canada. Our work in this area includes regulatory and compliance advice and monitoring, government advocacy, alternative dispute resolution and mediation, public consultation, facilitation and consensus building, and public policy research and recommendations. We advise a range of clients, including governments, on required approvals and the implementation of procedures and policies to assure legislative compliance. We advise on environmental matters in a wide range of legal transactions, including the overseeing of due diligence investigations. As well as appearing before regulatory boards and review panels, we represent public and private sector clients in dealings with regulatory authorities in the environmental and energy sectors, including investigations and litigation.
